Rossi, creator of the Energy Catalyser, or E-Cat, a small device that produces excess energy beyond its consumption, claims Industrial Heat agreed to pay him $100 million—$11.5 million of which was due after the first 24-hour trial—to pursue a secret long-term test of the technology. The company never ponied up the cash.

IH paid $1.5 million to secure the agreement in 2012, and as payment in full for a 1 MW power plant. Then, for the intellectual property ("know-how") and a License for a defined territory, $10 million was paid into escrow, and from there, in 2013, paid to Rossi based on the "first 24-hour trial," the "Validation test" from the Agreement. The Agreement then provided for an $89 million payment based on completion of a one-year test -- which test was extensively postponed and not completed until February 2016. So Industrial heat did "pony up" at least part of the cash. And then the issue becomes performance on the rest of the Agreement.
